An Underweight rating is an analyst recommendation that a stock is expected to underperform a benchmark, usually its industry or the analyst's coverage universe, over the rating horizon. It is the bottom tier of the [Overweight](https://www.quantisnow.com/glossary/overweight)/Equal-weight/Underweight scale and is broadly equivalent to a [Sell rating](https://www.quantisnow.com/glossary/sell-rating).

## How it works

The label comes from benchmark-relative portfolio management: an underweight position is one held at less than the stock's weight in the index. An Underweight call tells clients to own less than benchmark weight, or none at all.

Because it is relative, an Underweight stock can still rise in a strong market; the analyst is only predicting that it will lag its peers. Each firm's research disclosures define the rating precisely, and, as with Sell ratings, Underweight calls make up a small share of ratings at most banks.

## Why it matters for traders

Underweight ratings are uncommon, so new ones get noticed:

- **Downgrades to Underweight**, especially straight from Overweight, often produce sharp moves.
- **The bear case.** An Underweight note usually lays out the specific risks (pricing pressure, slowing demand, balance sheet strain) that bulls will need to answer.
- **Upgrades off Underweight** can signal that a long-running negative thesis has played out.

The [price target](https://www.quantisnow.com/glossary/price-target) attached tells you whether the analyst expects an outright decline or just relative weakness.

## Example

An analyst downgrades a hypothetical medical device maker, Clearwater Devices (CLWD), from Equal-weight to Underweight and cuts the target from $90 to $72. With CLWD at $84, the new target implies about 14% downside ($12 / $84). The note cites rising competition in its core product line.
