Verizon Communications Inc. (“Verizon”) previously filed a Current Report on Form 8-K (the “Original Filing”) to report that on June 27, 2024, the Verizon Board of Directors elected Caroline A. Litchfield as a director, effective October 1, 2024. At the time of the Original Filing, the Board of Directors had not made a determination regarding any committee assignment for Ms. Litchfield. Verizon is filing this amended Current Report on Form 8-K/A to report that on June 26, 2025, the Board of Directors appointed Ms. Litchfield to the Audit Committee and the Corporate Governance and Policy Committee, effective immediately.
