This Amendment No. 7 (“Amendment No. 7”) amends and supplements the Schedule 13D, as amended to date, filed jointly by Bayou Well Holdings Company, LLC (“Bayou”) and Richard E. Agee (collectively, the “Reporting Persons”) (as amended, the “Schedule 13D”).

Except as specifically provided herein, this Amendment No. 7 does not modify any of the information previously reported on the Schedule 13D. Capitalized terms used but not otherwise defined in this Amendment No. 7 shall have the meanings ascribed to them in the Schedule 13D.

 

Item 5.

Interest in Securities of the Issuer

Item 5 of the Schedule 13D is hereby amended and replaced by the following:

 

(A)

Bayou Well Holdings Company, LLC

As of the date hereof, Bayou may be deemed the beneficial owner of a total of 1,863,208 shares of Class A Common Stock, constituting approximately 8.4% of the issued and outstanding shares of Class A Common Stock, consisting of 1,863,208 shares of Class A Common Stock owned directly by Bayou.

 

(B)

Richard E. Agee

As of the date hereof, Richard E. Agee may be deemed the beneficial owner of a total of 1,863,208 shares of Class A Common Stock, constituting approximately 8.4% of the issued and outstanding shares of Class A Common Stock, consisting of 1,863,208 shares of Class A Common Stock owned directly by Bayou.

(C) Annex A attached hereto lists all transactions in Class A Common Stock, since Amendment No. 6 to the Schedule 13D was filed on December 4, 2024, by the Reporting Persons or on behalf of the Reporting Persons. The transactions in Class A Common Stock set forth on Annex A were effected in the open market through a broker.
