On April 24, 2025, AXIS Capital Holdings Limited, a Bermuda company (the “Company”) issued a press release announcing that AXIS Specialty Limited, AXIS Reinsurance Company, AXIS Re SE, and AXIS Managing Agency Ltd., for and on behalf of the underwriting members of Lloyd’s Syndicate 1686, each a subsidiary of the Company and Cavello Bay Reinsurance Limited, a wholly-owned subsidiary of Enstar Group Limited, closed a previously announced loss portfolio transfer transaction following receipt of regulatory approvals and satisfaction of various other closing conditions. A copy of the press release is furnished as Exhibit 99.1 and is incorporated herein by reference.
