(b) On February 14, 2025, Sandra Leung notified Bristol-Myers Squibb Company
(the “Company”) of her intention to retire from her position as Executive Vice President, General Counsel in 2025. Ms. Leung is expected to remain with the Company for a transition period until her successor’s appointment in order to assist with
the transition of her duties.
(e) In connection with her retirement, Ms. Leung will be entitled to retirement benefits in accordance with the Company’s existing compensation plans.
