Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On June 16, 2025, BWX Technologies, Inc. (“BWXT” or the “Company”) announced that the Board of Directors (“Board”) appointed Kevin M. McCoy, President, Government Operations, to the role of Chief Nuclear Officer, effective June 16, 2025 (“Effective Date”). In this role, Mr. McCoy will be directly supporting the Deputy Secretary of Defense and the Secretary of the Navy to work with Electric Boat and Huntington Ingalls to accelerate the pace of Columbia and Virginia Class submarine production.
Item 7.01 Regulation FD Disclosure
The Board appointed Joseph K. Miller to succeed Mr. McCoy as President, Government Operations, on the Effective Date. A copy of the June 16, 2025 press release issued by the Company announcing the foregoing officer change is being furnished as Exhibit 99.1 to this Current Report on Form 8-K and shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended (“Exchange Act”), or otherwise subject to the liabilities under that Section.
