    Item 7.01

    Regulation FD Disclosure.

    Columbia Banking System, Inc., a Washington corporation (“Columbia”), and Pacific Premier Bancorp, Inc., a Delaware corporation (“Pacific Premier”), issued a joint press release on April 23, 2025 announcing the execution of the Merger Agreement (as defined below). A copy of the press release is furnished as Exhibit 99.1 and incorporated herein by reference. Columbia also intends to provide supplemental information regarding the transactions disclosed under Item 8.01 of this Current Report on Form 8-K in connection with presentations to analysts and investors. The slides that will be made available in connection with the presentations are furnished as Exhibit 99.2 and are incorporated herein by reference.

    Item 8.01

    Other Events.

    On April 23, 2025, Columbia entered into an Agreement and Plan of Merger (the “Merger Agreement”), by and among Columbia, Pacific Premier and Balboa Merger Sub, Inc., a Delaware corporation and a wholly owned subsidiary of Columbia (“Merger Sub”), pursuant to which, upon the terms and subject to the conditions set forth therein, (i) Merger Sub will merge with and into Pacific Premier (the “Merger”), with Pacific Premier surviving the Merger (the “Surviving Corporation”), (ii) immediately following the Merger, the Surviving Corporation will be merged with and into Columbia (the “Second Step Merger”), with Columbia continuing as the surviving entity in the Second Step Merger and (iii) promptly following the Second Step Merger, Pacific Premier Bank, National Association, a national banking association and a wholly owned subsidiary of Pacific Premier, will merge with and into Umpqua Bank, an Oregon state-chartered commercial bank and a wholly owned subsidiary of Columbia, with Umpqua Bank continuing as the surviving bank.
