ITEM 8.01 OTHER EVENTS.
On or about June 9, 2025, First Merchants Corporation (the “Corporation”), through its issuing and paying agent, distributed notice of redemption of $5,000,000 in principal amount of its 5.00% Fixed-to-Floating Rate Senior Notes Due 2028, dated November 1, 2013 (the "Senior Notes"). The redemption is permitted under the optional redemption provisions of the Senior Note Certificate representing the Senior Notes and will occur on July 30, 2025, the next interest payment date. Following the redemption, no principal amount remains outstanding related to this Senior Notes issuance.
