The Annual Meeting of Shareholders (the “Annual Meeting”) of National HealthCare Corporation (the “Company”) was held on May 8, 2025. As of the record date, March 14, 2025, there were a total of 15,461,829 shares of Common Stock outstanding and entitled to vote at the Annual Meeting. At the Annual Meeting, 12,996,474 shares of Common Stock were represented in person or by proxy; therefore, a quorum was present.
