    Item 1.01 Entry into a Material Definitive Agreement.

    The information provided in Item 2.03 of this Current Report on Form 8-K is hereby incorporated by reference in this Item 1.01

    Item 2.03 Creation of a Direct Financial Obligation or an Obligation under an Off-Balance Sheet Arrangement of a Registrant.

    On April 18, 2025, Natural Gas Services Group, Inc. and the guarantors from time to time party thereto entered into a Fourth Amendment to Amended and Restated Credit Agreement (the "Fourth Amendment”) with Texas Capital Bank, as administrative agent and the lenders thereto. The Fourth Amendment increased the commitment to our existing credit facility with the lenders from $300 million to $400 million. We also increased the accordion feature of the facility from $50 million to $100 million which if approved by the bank, would increase the maximum commitment to $500 million, subject to collateral availability.

    The foregoing description of the Amendment does not purport to be complete and is qualified in its entirety by reference to the Fourth Amendment, a copy of which is filed as Exhibit 10.1 to this Current Report on Form 8-K and incorporated herein by reference.
