On February 12, 2026, Compugen Ltd. (the “Company”) issued a press release announcing the appointment of Michele Holcomb, Ph.D., as a new independent director, a copy of which is furnished as Exhibit 99.1 (the “Press Release”) to this Report on Form 6-K and incorporated by reference herein.

 

Following her appointment, effective February 11, 2026, Dr. Michele Holcomb will hold office until immediately following the annual general meeting of the Company’s shareholders for 2026 and until her respective successor has been elected, or until her office is vacated earlier in accordance with the provisions of the Companies Law and the Articles.

 

With the exception of the second, third, and fourth paragraphs in the Press Release, the information incorporated by reference, and included, in this Report on Form 6-K is hereby incorporated by reference into the Company’s Registration Statement on Form F-3, File No. 333-270985.
