Description of Registrant’s Securities to be Registered.

The securities to be registered hereunder are €575,000,000 aggregate principal amount of 3.625% Senior Notes due 2031 (the “Notes”) of Magna International Inc., a corporation incorporated under the laws of the Province of Ontario, Canada (the “Registrant”). The descriptions of the general terms and provisions of the Notes set forth under the caption “Description of the Debt Securities” in the prospectus dated February 26, 2024, included in the Registrant’s registration statement on Form F-10 (File No. 333-277377) filed with the Securities and Exchange Commission on February 27, 2024, and under the caption “Description of the Notes” in the prospectus supplement thereto dated May 13, 2025, which was filed with the Securities and Exchange Commission pursuant to General Instruction II.L of Form F-10 under the Securities Act of 1933, as amended, are incorporated by reference herein.
