Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On August 14, 2025, the Compensation Committee of the Board of Directors of Champion Homes, Inc. (the “Company”) approved one-time special equity awards in the form of restricted stock units (the “RSU Awards”) under the Company’s 2018 Equity Incentive Plan (the “Plan”) to certain senior members of the Company’s management team intended to ensure business continuity and stability in a challenging market environment. The target award values of the RSU Awards to the named executive officers were as follows: Laurie Hough, Executive Vice President, Chief Financial Officer and Treasurer: $1,750,000; Wade Lyall, Executive Vice President, Sales and Business Development: $1,500,000; Joseph Kimmell, Executive Vice President, Operations: $1,000,000 and Laurel Krueger, Senior Vice President, General Counsel and Secretary: $1,000,000. The RSU Awards vest in one-third increments on each of the first three anniversaries of the grant date, subject to continued employment or as otherwise provided in the Plan or the applicable form of RSU Award Agreement (as referenced below).
