On January 23, 2025, Dennis Polk informed the Board of Directors (the “Board”) of Terreno Realty Corporation (the “Company”) that he would not stand for re-election as a director of the Company at the Company’s 2025 Annual Meeting of Stockholders (the “Annual Meeting”). Mr. Polk will continue to serve on the Board and maintain his committee memberships through the Annual Meeting. Mr. Polk’s decision not to stand for re-election was not the result of any disagreement with the Company on any matter relating to its operations, policies or practices.
