    WOW! Employees,

     

    Moments ago, WOW! announced that our board of directors, acting upon the recommendation of the special committee of independent directors established to evaluate the proposal from DigitalBridge and Crestview, has approved an agreement to be taken private by investment funds affiliated with DigitalBridge and Crestview Partners. This means, at the close of this transaction, WOW! will become a privately held company and our stock will no longer be traded on the New York Stock Exchange.

     

    DigitalBridge is a global digital infrastructure investment firm with expertise in connectivity and broadband; Crestview Partners is a private equity investment firm and significant stakeholder in WOW! since 2015. Both companies see strong potential for our business and are excited about WOW!. I encourage you to read the news release we issued moments ago.

     

    First, let me assure you, this is a story of investment and growth, and provides us all with a lot of opportunities. This transaction is an important step toward fulfilling our vision for growth and for evolving the business.

     

    The decision to agree to this purchase came after months of thoughtful consideration and negotiation by the special committee of the board and approval by WOW!’s full board of directors.

     

    The final negotiated price, $5.20, represents a premium over WOW!’s recent trading price and is a positive outcome for stockholders, including employees granted shares through WOW!’s stock program.

     

    We are confident this move is the right one for WOW!. DigitalBridge and Crestview Partners view this acquisition as strategic to their growth and expansion. The transaction is expected to close by the end of the year or in the first quarter of 2026, subject to the satisfaction of the closing conditions, including receipt of stockholder approval and required regulatory approvals. Throughout this process, we have and will continue to carefully consider the impacts on employees, customers and investors.

     

    I know many of you will have questions about what this means for you and your role at WOW!. Although we don’t have all the specifics at this early stage, please know I and the entire WOW! leadership team will continue to communicate openly and as often as possible as this transaction unfolds.
