State below in reasonable detail why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-CEN, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.
SUNation Energy, Inc. (the “Company”) is unable to file its Quarterly Report on Form 10-Q for the quarterly period ended June 30, 2025 (the “Quarterly Report”) within the prescribed time period without unreasonable effort and expense. Additional time is needed for the Company to compile and analyze supporting documentation in order to complete the Quarterly Report and to permit the Company’s independent registered public accounting firm to complete its review.
The Company expects to file the Quarterly Report as soon as reasonably practicable, and at this time the Company anticipates that it will be able to do so within the extension period of five calendar days provided under Rule 12b-25 of the Securities Exchange Act of 1934, as amended.
