Heidmar Maritime Holdings Corp. (the “Registrant”) is unable to file with the U.S. Securities and Exchange Commission,
without unreasonable effort or expense, its annual report on Form 20-F for the year ended December 31, 2024 (the “Annual Report”) within the prescribed due date for such filing. Therefore, the Registrant is filing this form for a 15-day extension.
Additional time is required due to the Registrant’s recent listing following the consummation of a business combination on February 20, 2025. The listing process, along with the related activities associated with the business combination, has
impacted the timeline for the preparation of the financial statements and other required information, preventing the Registrant from finalizing its filing within the prescribed deadline.
