Item 2.02 Results of Operations and Financial Condition.
On May 6, 2025, Shoals Technologies Group, Inc. (the “Company”) issued a press release announcing its financial results for the three months ended March 31, 2025. In the press release, the Company also announced that it would be holding a conference call on May 6, 2025 to discuss its financial results for the three months ended March 31, 2025. The full text of the press release is furnished herewith as Exhibit 99.1 and is incorporated herein by reference.

Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers
On May 2, 2025 , Inez Lund notified the Company of her decision to resign from her role as the Company’s Chief Accounting Officer and principal accounting officer. The Company and Ms. Lund agreed the resignation would be effective as of May 16, 2025. Ms. Lund has accepted a position at another company and her decision was not the result of any disagreement with the Company, and the Company wishes her well. Upon Ms. Lund’s departure, Dominic Bardos, the Company’s Chief Financial Officer, will assume the role of the Company’s principal accounting officer.
