Explanation of Responses:

1. The award vests as to 20% of the shares on the first anniversary of the grant date, 20% of the shares on the second anniversary of the grant date and 60% of the shares on the third anniversary of the grant date, subject to the Reporting Person's continued employment with the Issuer through such anniversaries and the other terms and conditions of the grant agreements.
