Item 5.02

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

As previously reported, Abbott has Agreements Regarding Change in Control (“Agreements”) with its named executive officers.

The Agreements provide that if Abbott gives notification of extension before the Expiration Date (December 31, 2024), the Agreement’s term shall continue through the second anniversary of the Expiration Date.

On November 12, 2024, Abbott notified the named executive officers that the term of the Agreements was extended through December 31, 2026.
