Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On March 28, 2022, after 15 years of service, David Weber announced his retirement from his position as Senior Vice President (“SVP”), Chief Operating Officer (“COO”) of ABIOMED, Inc. (the “Company”), effective March 31, 2022. Following his retirement as an executive officer, Dr. Weber will remain employed by the Company for at least 30 hours per week as a scientific and technology advisor with an annual salary of $255,000. In his new role, he will remain eligible for equity grants each year as part of the annual employee review process, but it is not expected that he will receive an annual cash incentive award. He will also retain the standard benefit package offered to the Company’s employees.
