Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On April 25, 2025, Amrit Nagpal notified Absci Corporation (the “Company”) that he would resign from the Company’s Board of Directors and all committees thereof, effective as of April 25, 2025. Mr. Nagpal’s resignation is not the result of any disagreement with the Company on any matter relating to its operations, policies or practices.
