Explanation of Responses:

1. Following a donation of 1,721,625 shares of the Issuer's Common Stock, Par Value $0.0001 Per Share ("Common Stock"), to Compassion International, Inc. ("Compassion"), a tax-exempt charitable organization, Compassion rejected 510,000 of the donated shares in order to assure that its holding was below 10% of the Issuer's total shares outstanding. The Reporting Person intends immediately to re-donate the returned shares to another charitable organization.
