(b) Resignation of Director.

On March 8, 2023, Elizabeth Dávila, a Class III director of Accuray Incorporated (the “Company”), informed the Company’s Board of Directors (the “Board”) that she will retire from the Board, including all committees of the Board on which she sits, effective April 30, 2023, to pursue other interests. Ms. Dávila’s decision to retire from the Board is not due to any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
