Item 2.02 Results of Operations and Financial Condition.

On December 15, 2022, Tempo Automation Holdings, Inc. (the "Company") issued a press release providing information regarding its financial and operational results for the third quarter ended September 30, 2022, and guidance with respect to the Company’s currently expected financial results for the fourth quarter of 2022, the year ending December 31, 2022, and the year ending December 31, 2023. A copy of the press release is attached hereto as Exhibit 99.1.
