Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(b) On February 15, 2024, William B. Hart notified the board of directors (the "Board") of ACRES Commercial Realty Corp. (the “Company”) that he does not intend to stand for re-election at the Company’s 2024 Annual Meeting of Stockholders. Mr. Hart’s decision to retire from the Board at the annual meeting is not the result of any disagreement with the Company or the Board regarding any matter related to the Company’s operations, policies or practices.

The Company expresses its sincere thanks to Mr. Hart for his service on the Board and his many valuable contributions to the Company. Mr. Hart has served as a director of the Company since March 2005.
