Item 8.01 Other Information.

On September 30, 2025, The ADT Security Corporation, a Delaware corporation (the “Issuer”), a wholly owned indirect subsidiary of ADT Inc. (the “Company” or “ADT”), priced its offering (the “Offering”) of $1.0 billion aggregate principal amount of its 5.875% first-priority senior secured notes due 2033 (the “Notes”). The Offering is expected to close on October 15, 2025, subject to customary closing conditions.

The Company expects to use the proceeds from the Offering, together with the proceeds from the incurrence of incremental first lien senior secured term loans and cash on hand, to (i) redeem in full all $1.3 billion outstanding aggregate principal amount of the 6.250% Second-Priority Senior Secured Notes due 2028 (the “Second-Priority Notes”) of Prime Security Services Borrower, LLC and Prime Finance Inc., each a wholly owned indirect subsidiary of the Company, and (ii) pay related fees and expenses in connection with the transactions.

The Notes are being offered and sold only to persons reasonably believed to be qualified institutional buyers in the United States pursuant to Rule 144A under the Securities Act of 1933, as amended (the “Securities Act”), and outside the United States pursuant to Regulation S under the Securities Act. The Notes have not been registered under the Securities Act or any state securities laws and may not be offered or sold in the United States absent registration or any applicable exemption from the registration requirements of the Securities Act and applicable laws.

On September 30, 2025, the Company issued a press release announcing the pricing of the Offering, a copy of which is attached as Exhibit 99.1 hereto and is incorporated by reference herein.
