Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On August 7, 2026, Edward T. Rizzuti, Executive Vice President and Head of Corporate Development, notified Alamo Group Inc. (the “Company”) of his intent to retire from the Company on September 11, 2026. Mr. Rizzuti’s retirement is not the result of any disagreement regarding the Company’s operations, financial reporting, or accounting practices.

On August 10, 2026, the Company and Mr. Rizzuti entered into a consulting agreement (the "Consulting Agreement"). The Consulting Agreement begins September 14, 2026, and is scheduled to expire on December 31, 2026. Pursuant to the Consulting Agreement, the Company will pay Mr. Rizzuti $20,000.00 per month, pro-rated for September, plus reimbursement of reasonable expenses, to advise on corporate development initiatives, including acquisitions and divestitures, and similar matters.
