Item 7.01 Regulation FD Disclosure.

On June 29, 2021, ALJ Regional Holdings, Inc. (the “Company”) inadvertently announced that it has completed the replacement of its existing term loan and amended its existing revolving credit facility. The Company is currently negotiating the replacement of its existing term loan facility and the amendment of its existing revolving credit facility (referred to collectively as “New Debt”).

While the Company is currently in late stages of negotiations regarding the New Debt, there is no guarantee that the transactions contemplated above will close on the terms described in the attached Company Statement, or at all.

The Company Statement correcting this announcement is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
