SECTION 5 - CORPORATE GOVERNANCE AND MANAGEMENT

Item 5.03.

Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

On October 20, 2021, the Board of Directors of Amedisys, Inc. (the “Company”) approved an amendment (the “Amendment”) to the By-Laws of the Company (the “By-Laws”), effective as of such date, to add an exclusive forum provision as new Article IX. Under new Article IX, unless the Company consents in writing to the selection of an alternative forum, the Court of Chancery of the State of Delaware (or, if the Court of Chancery does not have jurisdiction, the federal district court for the District of Delaware) shall be the sole and exclusive forum for: (i) any derivative action or proceeding brought on behalf of the Company; (ii) any action asserting a claim for breach of a fiduciary duty owed by any director, officer, employee or agent of the Company to the Company or the Company’s stockholders; (iii) any action asserting a claim arising pursuant to any provision of the Delaware General Corporation Law, the Certificate of Incorporation or the By-Laws; or (iv) any action asserting a claim governed by the internal affairs doctrine. In addition, under new Article IX, unless the Company consents in writing to the selection of an alternative forum, the federal district courts of the United States of America shall be the sole and exclusive forum for the resolution of any complaint asserting a cause of action arising under the Securities Act of 1933, as amended.
