Explanation of Responses:

1. Includes restricted stock units ("RSUs") granted to the Reporting Person on July 5, 2023. Each RSU represents a contingent right to receive one share of the Issuer's common stock once vested. The RSUs vest on a quarterly basis over a three-year period, subject to the Reporting Person's continuous service with the Issuer.

2. The Issuer issued these shares to the Reporting Person in accordance with its Outside Director Compensation Plan.
