Explanation of Responses:

1. On March 14, 2025, the reporting person filed a Form 4 which incorrectly stated the grant amount. The grant amount represents a grant of restricted stock that vests in three annual installments of one-third each beginning on the first anniversary of the grant date. This transaction is exempt from Section 16(b) of the Securities Exchange Act of 1934 pursuant to Rule 16b-3(d) thereunder.
