Explanatory Note

On August 3, 2026, Lipocine Inc. (the “Company”) reported the appointment of Michael Grissinger to the Company’s Board. This amendment is being filed to report Mr. Grissinger’s appointment to the Compensation Committee of the Board.

Appointment of Michael Grissinger to the Compensation Committee of the Board of Directors

On August 18, 2026, the Board of Directors (the “Board”) of the Company appointed Michael Grissinger to serve as a member of the Compensation Committee of the Board. Mr. Grissinger is eligible to receive an additional $7,500 per year for his service as a member of the Compensation Committee of the Board.
