This Form 3 is being filed late. The reporting person was appointed Chief Operating Officer of Diginex Limited on April 24, 2026, and was required to file this Form 3 within 10 days of that date. The reporting person tendered his resignation on August 14, 2026 as Chief Operating Officer of Diginex Limited effective September 30, 2026, and will cease to be an officer or otherwise subject to Section 16 reporting obligations with respect to Diginex Limited as of September 30, 2026. The beneficial ownership information reported herein is as of April 24, 2026, the date of the event requiring the filing of this statement.
