Explanation of Responses:

1. The transaction was inadvertently reported as the acquisition of "Common Stock as the "Title of Derivative Security" in Column 1 of Table II. This amended Form 4 has been filed to correct the transaction to report the acquisition of "Stock Option" as the Title of Security in Column 1 of Table II.

2. Employees: 5-year vesting, 20 percent per year and expires in 6th year beginning on 27-Aug-2024
