Explanation of Responses:

1. Each performance-based restricted stock unit represents the right to receive, on the vesting date, one share of common stock for each such unit that vests.

2. These PRSUs are scheduled to vest on January 25, 2028. The number of shares of Common Stock to be issued will range between 0% and 200% of the target number of PRSUs indicated above. This Amendment to Form 4 is being filed to update the target number of PRSUs to reflect the grant date fair market value of the PRSUs as determined by an independent valuation consultant.
