Item 5.02.

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On February 20, 2025, Veradigm Inc. (the “Company”) filed a Current Report on Form 8-K (the “Initial Form 8-K”) to announce, among other things, the appointments of Vinit K. Asar and Louis Silverman as directors with terms expiring at the Company’s next annual meeting of stockholders. At the time the Initial Form 8-K was filed, the board of directors (the “Board”) of the Company had not yet determined on which Board committees, if any, Messrs. Asar and Silverman would serve.

This Amendment No. 1 to the Initial Form 8-K is being filed to report that on March 18, 2025, the Board appointed Mr. Asar to serve as Chair of the Nominating and Governance Committee of the Board and Mr. Silverman to serve on the Compensation Committee of the Board, each effective immediately.
