This Amendment No. 2 (this “Amendment”) to the Registration Statement on Form S-1 of Tenon Medical, Inc. (File No. 333-281531), as amended, originally filed on August 14, 2024 (the “Registration Statement”), is being filed as an exhibit-only filing to file the form of Securities Purchase Agreement as Exhibit 10.15.
