This Amendment No. 9 to Schedule 13D amends the Schedule 13D filed on May 30, 2023, as amended by Amendment No. 1 to Schedule 13D filed on June 9, 2023, as amended by Amendment No. 2 to Schedule 13D filed on July 10, 2023, as amended by Amendment No. 3 to Schedule 13D filed on July 24, 2023, as amended by Amendment No. 4 to Schedule 13D filed on August 25, 2023, as amended by Amendment No. 5 to Schedule 13D filed on October 26, 2023, as amended by Amendment No. 6 to Schedule 13D filed on November 17, 2023, as amended by Amendment No. 7 to Schedule 13D filed on January 16, 2024, as amended by Amendment No. 8 to Schedule 13D filed on January 26, 2024.

ITEM 1.

Security and Issuer.

This statement relates to the common stock, $0.0001 par value per share (the "Common Stock"), of Desktop Metal, Inc., a corporation organized under the laws of the State of Delaware, with its principal executive offices at 63 Third Avenue, Burlington, Massachusetts 01803.

ITEM 2.

Identity and Background.

(a)

This statement is being filed by Farhad Fred Ebrahimi and Mary Wilkie Ebrahimi (the "Reporting Persons").

(b)

191 University Blvd, Suite 246, Denver, Colorado 80206.

(c)

Farhad Fred Ebrahimi is a private investor, and Mary Wilkie Ebrahimi is not employed.

(d)

Neither of the Reporting Persons has, during the last five years, been convicted in any criminal proceeding (excluding traffic violations or similar misdemeanors).

(e)

Neither of the Reporting Persons has, during the last five years, been party to a civil proceeding of a judicial or administrative body of competent jurisdiction and as a result of such proceeding become (or remain) subject to a judgment, decree or final order enjoining future violations of, or prohibiting or mandating activities subject to, federal or state securities law, or finding any violation with respect to such laws.

(f)

United States.

ITEM 3.

Source and Amount of Funds or Other Consideration.

The Reporting Persons paid $5,848,990 from personal funds to acquire the Common Stock.

ITEM 4.

PURPOSE OF TRANSACTION.

The Reporting Persons acquired additional shares of Common Stock.

The Reporting Persons may make additional purchases of Common Stock or other securities of the Issuer, either in the open market or in private transactions, depending on their evaluation of the Issuer’s business, prospects and financial condition, the market for the Common Stock or other securities, other opportunities available to them, general economic conditions, money and stock market conditions, and other future developments. Depending on these same factors, the Reporting Persons may decide to sell all or part of their investment in the Issuer’s Common Stock.

Except as set forth in this document, none of the Reporting Persons has any present plans which relate to or would result in:

(a)

The acquisition by any person of additional securities of the Issuer, or the disposition of securities of the Issuer;

(b)

An extraordinary corporate transaction, such as a merger, reorganization or liquidation, involving the Issuer or any of its subsidiaries;

(c)

A sale or transfer of a material amount of assets of the Issuer or any of its subsidiaries;

(d)

Any change in the present board of directors or management of the Issuer, including any plans or proposals to change the number or term of directors or to fill any existing vacancies on the board;

(e)

Any material change in the present capitalization or dividend policy of the Issuer.

(f)

Any other material change in the Issuer’s business or corporate structure.

(g)

Changes in the Issuer’s charter, bylaws or instruments corresponding thereto or other actions which may impede the acquisition of control of the Issuer by any person;

(h)

Causing a class of securities of the Issuer to be delisted from a national securities exchange or to cease to be authorized to be quoted in an inter-dealer quotation system of a registered national securities association.

(i)

A class of equity securities of the Issuer becoming eligible for termination of registration pursuant to Section 12(g)(4) of the Securities Exchange Act of 1934; or

(j)

Any action similar to any of those enumerated above.

The Reporting Persons reserve the right, subject to applicable law, to review or reconsider their position, change their purpose, take other actions (including actions that could involve one or more of the types of transactions or have one or more of the results described in (a) through (j) above, or formulate and implement plans or proposals with respect to any of the foregoing.

INTEREST IN SECURITIES OF THE ISSUER.

Farhad Fred Ebrahimi and Mary Wilkie Ebrahimi jointly hold 5,452,397 shares of the Issuer’s Common Stock. Based on the number of shares reported as outstanding in the Issuer’s 10-Q, filed with the Securities Exchange Commission on May 9, 2024, this represents 16.50% of the outstanding Common Stock of the Issuer.

Note 1: On June 10, 2024, the Issuer effected a 1 for 10 reverse split. Transactions listed above from April 22, 2024 through June 7, 2024 are recorded at pre-split prices.
