¹ This percentage is calculated based upon 6,218,932 shares of common stock outstanding of the Issuer as of August 12, 2024, which includes 5,543,518 shares as disclosed by the Issuer on Form 10-Q filed on August 14, 2024, and an additional 675,414 converted shares from the conversion of Series B-2 Preferred Stock. However, as more fully described in Item 3, the securities reported in rows (8), (10) and (11) show the number of shares of Common Stock that would be issuable upon full conversion and exercise of such reported securities and do not give effect to such blockers. Therefore, the actual number of shares of Common Stock beneficially owned by such Reporting Person, after giving effect to such blockers, is less than the number of securities reported in rows (8), (10) and (11).

	(a)		Amount beneficially owned: The information as of the date of the event which requires filing of this statement required by Items 5(a) – (c) is set forth in Rows 7 – 13 of the cover page for each Reporting Person hereto and is incorporated herein by reference for each such Reporting Person. The percentage set forth in Row 13 of the cover page for each Reporting Person is based upon 6,218,932 Ordinary shares of the Issuer’s common stock outstanding as of August 12, 2024, which includes 5,543,518 shares as reported by the Issuer on 10-Q filed on August 14, 2024, and an additional 675,414 converted shares from the conversion of Series B-2 Preferred Stock. Rosalind Master Fund L.P. is the record owner of 426,002 shares of Common Stock, 2,602,488 shares of common stock issuable upon conversion of B-2 preferred shares and 4,594,288 shares of Common Stock issuable upon conversion of B-3 preferred shares. Rosalind Advisors, Inc. is the investment advisor to RMF and may be deemed to be the beneficial owner of shares held by RMF. Steven Salamon is the portfolio manager of the Advisor and may be deemed to be the beneficial owner of shares held by RMF. Notwithstanding the foregoing, the Advisor and Mr. Salamon disclaim beneficial ownership of the shares.
