Item 5.02.			Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On July 11, 2025, The Southern Company (the “Company”) filed a Current Report on Form 8‑K (the “Original 8-K”) announcing the appointment of David P. Poroch as Executive Vice President and Chief Financial Officer of the Company, effective July 31, 2025. The Company is filing this Amendment No. 1 to the Original 8-K to provide information regarding material changes to Mr. Poroch’s compensation arrangements, which had not been determined at the time of the filing of the Original 8-K.

On July 16, 2025, the Compensation and Talent Development Committee of the Company’s Board of Directors approved compensation arrangements for Mr. Poroch in his new role. Effective July 31, 2025, Mr. Poroch’s base salary will be $775,000 per year, his annual incentive compensation target will be 85% of base salary and his annual long-term equity incentive compensation target will be 260% of base salary.
