Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On August 17, 2026, David J. Corrsin, 68, resigned from his position as a Class II director of the Company, effective immediately, in connection with retiring from the position as Executive Vice President and General Counsel, also effective August 17, 2026. Following his retirement, Mr. Corrsin will continue to serve as the Company's Special Legal Advisor.

Mr. Corrsin has served as a director of the Company since its formation in 2000. The Company thanks Mr. Corrsin for his many years of dedicated service and guidance as a member of the board of directors and looks forward to continuing to benefit from his experience in his role as Special Legal Advisor.

Mr. Corrsin’s resignation was not the result of any disagreement with the Company regarding its operations, policies, or practices.
