Item 2.02 Results of Operations and Financial Condition.

On May 1, 2024, American Well Corporation (the "Company") announced its financial results for the fiscal quarter ended March 31, 2024. The Company's Earnings Report is furnished as Exhibit 99.1 to this Form 8-K and is incorporated by reference herein.

The Company will host a conference call to discuss its financial results today at 5 p.m. ET, Wednesday, May 1.
