Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On March 30, 2025, Jessica M. Lockett notified the Board of Directors (the “Board”) of AMMO, Inc. (the “Company”) of her resignation from her position as a member of the Board and all committees thereof, effective immediately. Ms. Lockett’s resignation from the Board was not in connection with any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
