Other Events.

On August 6, 2026, Amphenol Corporation (the “Company”) announced the approval of a two-for-one stock split of the Company’s Class A Common Stock in the form of a stock dividend to be distributed on September 2, 2026, to holders of record of the Company’s Class A Common stock at the close of business on August 17, 2026.

A copy of the press release announcing the approval of the stock dividend is attached hereto as Exhibit 99.1 and is incorporated by reference herein.
