Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On July 30, 2024, Edward Cong Wang, the Company’s interim Chief Financial Officer, resigned from that position. Mr. Wang had served as Chief Financial Officer of the Company prior to the Company’s business combination and had agreed to remain as interim Chief Financial Officer for a limited period of time post-closing of the business combination. Mr. Wang will remain a Director of the Company.
