Item 8.01.

Other Events.

On May 19, 2022, AppTech Payments Corp. (the “Company”) entered into a Settlement and Release Agreement (the “Settlement Agreement”) with Flowpay Corporation, a Delaware corporation (“Flowpay”), and R. Wayne Steiger, the President of Flowpay to resolve the claims by Flowpay and Mr. Steiger which were previously disclosed on the Company’s Quarterly Report on Form 10-Q for the period ended September 30, 2021 and the Company’s Annual Report on Form 10-K for the fiscal year ended December 31, 2021.

Under the terms of the Settlement Agreement, Flowpay and Mr. Steiger will dismiss with prejudice all claims against the Company, its Chief Executive Officer, a Director and a third party individual.
