(NYSE:ARR) ("ARMOUR" or the "Company") today announced that it has priced an underwritten public offering of 18,500,000 shares of its common stock for total estimated gross proceeds of approximately $302,475,000 (or approximately $347,846,250 if the option to purchase additional shares is exercised in full). ARMOUR has granted the underwriters a 30-day option to purchase up to 2,775,000 additional shares of its common stock. Settlement of the offering is subject to customary closing conditions and is expected to occur on or about August 7, 2025.

Goldman Sachs & Co. LLC is acting as sole bookrunner for the offering and BUCKLER Securities LLC is acting as co-manager for the offering.
