Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On April 22, 2022, Baiju Shah, a member of the Board of Directors (the “Board”) of Athersys, Inc. (the “Company”), notified the Company that he will not stand for reelection as a director upon expiration of his current term, which is scheduled to expire at the Company’s 2022 annual meeting of stockholders (the “2022 Annual Meeting”). Mr. Shah has served on the Board since November 2020. Mr. Shah’s decision to let his term expire and not to stand for reelection at the 2022 Annual Meeting is due to his other personal and professional obligations and not the result of a disagreement with the Company on any matter relating to the Company’s operations, policies or practices. The Company wishes to express its gratitude to Mr. Shah for his contributions to the Board. Following Mr. Shah’s decision, the Board reduced the size of the Board to nine members, effective as of the 2022 Annual Meeting.
