Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On October 27, 2023, AutoZone, Inc. (the “Company”) announced that Preston Frazer ceased to serve as the Company’s Senior Vice President, Finance, effective October 31, 2023. Mr. Frazer will receive those separation payments and benefits to which he is entitled under his Non-Compete and Severance Agreement, which agreement has been previously disclosed.
